Inleidende Bepalingen
Artikel 1. Oprichting
De studentenvereniging Tomo no Kai (友の会) werd op 16 mei 2008 opgericht te Gent door de Bachelorstudenten Oosterse Talen en Culturen: Japanologie.
Artikel 2. Leden van Tomo no Kai
1. Het Lidmaatschap van Tomo no Kai staat open voor alle studenten die een interesse tonen in de Japanse cultuur en/of maatschappij.
1bis. In principe is het lidmaatschap van Tomo no Kai kosteloos. Het kernbestuur kan met absolute meerderheid, Tomo no Kai aan het begin van ieder werkjaar beslissen om een eenmalige ledenbijdrage op te leggen, enkel en alleen om een goede werking van Tomo no Kai te verzekeren.
2. Een halfjaarlijks lidmaatschap van Tomo no Kai staat enkel open voor internationale studenten met een semestrieel verblijf aan de Universiteit Gent.
2bis. In navolging van artikel 1bis kan ook bij het halfjaarlijks lidmaatschap aan het begin van ieder semester een eenmalige bijdrage worden opgelegd aan de leden, enkel en alleen om de goede werking van Tomo no Kai te verzekeren. Deze bijdrage bedraagt de helft van de gevraagde bijdrage van een jaarlijks lidmaatschap.
Artikel 2bis. Structuur
1. Tomo no Kai neemt juridisch de vorm aan van een feitelijke vereniging. Het Tomo no Kai werkjaar begint op 1 juli en eindigt op 30 juni; alle taken en verantwoordelijkheden worden aan het begin van het nieuwe werkjaar aan het nieuw bestuur overgedragen.
2. De leden en hun eventuele rechtsopvolgers hebben geen deel in het vermogen van Tomo no Kai, hebben geen recht op een aandeel in de behaalde winsten en kunnen geen opbrengsten halen uit Tomo no Kai waardoor zij zich individueel verrijken. Bij uittreding, opheffing van functie of overlijden kunnen zij nooit teruggave of vergoeding vorderen voor gestorte bijdragen of gedane contributies.
2bis. Het doel van Tomo no Kai is geenszins om winst te maken ten voordele van de leden en/of derden. Een uitzondering op deze regel is het sponsoren van activiteiten die in de doelstellingen van Tomo no Kai passen. Hiervoor kan gebruik gemaakt worden van benefieten.
3. Bij ontbinding van Tomo no Kai, om welke reden dan ook, moet het vermogen van Tomo no Kai worden bestemd tot een doel dat aansluit bij het doel van Tomo no Kai, en dit mag niet worden uitgekeerd aan de leden.
Artikel 3. Logo & praesidiumlinten
1. Het logo bestaat uit een cirkel met daarin een besneeuwde bergtop, bossen aan weerszijden en een schuilende Japanse zon in een wit, carneoolrood en goudgeel kleurenschema. De Japanse karakters van Tomo no Kai staan over het geheel heen gedrukt.
2. Het praesidiumlint, bestaat uit het carneoolrood links en het goudgeel kleurschema rechts. In het midden van het praesidiumlint is het logo van Tomo no Kai aanwezig. Boven het logo staat de naam van de studentenvereniging vermeld. Onder het logo treft men in aflopende volgorde de voornaam, de functie en het academiejaar wanneer deze voornoemde zijn, haar of hun functie uitoefent. Als voorgenoemd persoon meerdere functies beoefend, dan wordt dit vermeld op het lint. Bij meerdere jaren praesidium, wordt elk jaar de functie en het nieuwe academiejaar nogmaals vermeld. Er is geen flos voor gewone praesidiumlinten
2.1. Het lint van de voorzitter (praeses) is dikker dan het gewone praesidiumlint. Het praeseslint krijgt een gouden elastiek en een gouden flos
2.2. Het keizerlint wordt toegekend aan elk presidiumlid dat drie volledige academiejaren eenzelfde functie heeft uitgevoerd. Deze keizerstitel en bijbehorende jaartallen worden op zijn/haar/x lint in het zilver opgestikt. Het keizerslint krijgt een zilveren elastiek en zilveren flos
Interne Organisatie
Artikel 4. Algemene Vergadering
1. De Algemene Vergadering, ofte het bestuur, is het centraal leidinggevend orgaan van Tomo no Kai. Het bestaat uit het kernbestuur, beschreven in artikel 4.1bis, en de functies beschreven in artikel 9, 10 en 11.
1bis. Het kernbestuur omvat vaste functies die, anders dan de functies beschreven in artikel 10 en 11, niet kunnen verwijderd worden uit de leidinggevende structuur van Tomo no Kai. Deze functies zijn Praeses, Vicepraeses en Penningmeester.
2. Bij het wegvallen van een bestuurslid door persoonlijke of academische redenen wordt de opvolger aangesteld door de Algemene Vergadering.
Artikel 5. Praeses (Voorzitter) van Tomo no Kai
1. De Praeses van Tomo no Kai wordt verkozen door het aftredende bestuur van Tomo no Kai, waarbij deze rekening zal houden met de criteria uit het tweede lid van dit Artikel.
2. De Praeses is de voorzitter van de vereniging: hij/zij moet toezien op de goede werking van Tomo no Kai, op het feit dat alle bestuursleden hun functie goed uitvoeren en op de naleving van de statuten. De Praeses zorgt ervoor dat de IK-vergaderingen bijgewoond en opgevolgd worden; hij/zij zit ook in de Algemene Vergaderingen van het IK. Hij/zij roept vergaderingen bijeen en stelt hiervoor de agenda op. Hij/zij zit de cantussen voor en probeert in te springen wanneer een van de andere bestuursleden zijn taak tijdelijk niet afdoende kan uitvoeren. De Praeses draagt de eind- en financiële verantwoordelijkheid.
3. De Praeses kan slechts worden afgezet wegens zware en pertinente wanprestaties in de uitoefening van zijn functie. Hiervoor is een unanieme beslissing van de Algemene Vergadering van Tomo no Kai nodig en bij deze stemming heeft de Praeses vanzelfsprekend geen stem. In dat geval neemt de VicePraeses de taken van de Praeses over.
Artikel 6. VicePraeses (Vicevoorzitter) van Tomo no Kai
1. De VicePraeses van Tomo no Kai wordt aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde is vereist.
2. De Vicepraeses is de rechterhand van de Praeses. Hij/zij behartigt dezelfde belangen, en treedt op wanneer de Praeses verhinderd is of het te druk heeft met een andere opdracht voor Tomo no Kai; ook bij afwezigheid van de Praeses op een Algemene Vergadering van het IK vervangt de Vicepraeses de Praeses. Wanneer de Praeses tijdens een lopend academiejaar afstand doet van zijn/haar functie, wordt de Vicepraeses automatisch de nieuwe Praeses. Een nieuwe Vicepraeses kan op dat moment uit het eigen bestuur of extern worden gezocht.
3. De Vicepraeses kan worden afgezet wegens wanprestaties in de uitoefening van zijn/haar functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit met uitzondering van de Praeses. In dit geval wordt de Vicepraeses in zijn/haar positie hersteld.
Artikel 7. Penningmeester van Tomo no Kai.
1. De Penningmeester van Tomo no Kai wordt aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde is vereist.
2. De Penningmeester is verantwoordelijk voor het financiële beleid van de kring: hij/zij moet op regelmatige basis een gedetailleerd kasverslag aan de Algemene Vergadering kunnen voorleggen. De Penningmeester controleert de uitgaven die voor Tomo no Kai gemaakt worden door de andere bestuursleden. De Penningmeester ziet erop toe dat gedurende het jaar geen al te grote schulden worden gemaakt en dat verlieslatende activiteiten tot een minimum beperkt blijven. De penningmeerster zorgt tevens voor een goed gebruik van de subsidies die door de DSA ter beschikking worden gesteld.
3. De Penningmeester kan worden afgezet wegens wanprestaties in de uitoefening van zijn/haar functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit met uitzondering van de Praeses. In dit geval wordt de Penningmeester in zijn/haar positie hersteld.
Artikel 8. Secretaris van Tomo no Kai.
1. De Secretaris van Tomo no Kai wordt aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde is vereist.
2. De Secretaris neemt het verslag op van elke bestuursvergadering, plaatst dit binnen de week op het discussieforum van Tomo no Kai en zorgt ervoor dat er steeds een activiteitenkalender per maand aanwezig is en bezorgt die ook aan de Webmaster. Indien de Secretarisfunctie niet is ingevuld, beslist men onderling aan het begin van de Algemene Vergadering wie het verslag opmaakt en het op het forum plaatst.
3. De Secretaris kan worden afgezet wegens wanprestaties in de uitoefening van zijn/haar functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit met uitzondering van de Praeses. In dit geval wordt de Secretaris in zijn/haar positie hersteld.
Artikel 9. Webmaster (Webverantwoordelijke) van Tomo no Kai.
1. De Webmaster van Tomo no Kai wordt aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde is vereist.
2. De Webmaster is verantwoordelijk voor het aankondigen van de activiteiten van Tomo no Kai op de website van DSA en het bijwerken en up-to-date houden van Tomo no Kai-website, alsook het voorzien in en het algemeen onderhoud van alle vereiste internet -en ICT vereisten die nodig zijn voor de goede werking van Tomo no Kai.
2bis. Omwille van de vereiste van de DSA dat het bestuur een webverantwoordelijke nodig heeft moet hiervoor iemand aangesteld worden, hetzij een individueel persoon, hetzij iemand met reeds een andere bestuursfunctie, indien niemand zich voor de functie van Webmaster aandient.
3. De Webmaster kan worden afgezet wegens wanprestaties in de uitoefening van zijn/haar functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit met uitzondering van de Praeses. In dit geval wordt de Webmaster in zijn/haar positie hersteld.
Artikel 10. Public Relations (PR) van Tomo no Kai.
1. De PR Intern en de PR Extern van Tomo no Kai worden aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde personen is vereist.
2. De PR Intern is verantwoordelijk voor het tijdig bekendmaken van het plaatsvinden van activiteiten, de data, plaatsen en eventueel andere nodige informatie en dit ten laatste 1 week voor de aanvang van de activiteit. Dat gebeurt door het ophangen van de posters van de komende activiteiten, informatie betreffende activiteiten op de borden te schrijven en vóór de eerste les van de week bij alle jaren langs te gaan. Hij/zij is regelmatig aanwezig op de plaatsen waar leden van Tomo no Kai les hebben en dit om mondelinge reclame te verstrekken. Hij/zij verstuurt ook de e
mails met daarin een overzicht van de komende activiteiten, en dit ten laatste 3 dagen voor het begin van de week. De publiciteit moet eveneens naar de ereleden gaan.
3. De PR Extern is verantwoordelijk voor de contacten tussen Tomo no Kai enerzijds en de UGent, sponsors en externe verenigingen waarmee Tomo no Kai eventuele samenwerkingen kan doen anderzijds. Hij/zij is belast met het aantrekken van externe fondsen tot medefinanciering van de activiteiten. Hij/zij is verantwoordelijk voor alle sponsorovereenkomsten.
4. De PR Intern/Extern kan worden afgezet wegens wanprestaties in de uitoefening van zijn/haar functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit met uitzondering van de Praeses. In dit geval wordt de PR Intern/Extern in zijn/haar positie hersteld.
Artikel 11. Aanvullende functies van Tomo no Kai.
1. De Algemene Vergadering kan bij unanieme beslissing kiezen om voor het volgende academiejaar en de volgende verkiezingen aanvullende functies te creëren volgens de specifieke noden van Tomo no Kai; deze functies zijn Cultuur, Sport, Studie, Scriptor, Feest en Designer. Zij worden aangesteld volgens de procedure beschreven in artikel 14 en 15. Aanvaarding van het ambt door de aangestelde personen is vereist.
2. Hun taken worden bepaald door de Algemene Vergadering en dienen enkel tot het verdelen en verlichten van de lasten van het bestuur.
3. De personen die de functies beschreven in artikel 11.1 aannemen kunnen worden afgezet wegens wanprestaties in de uitoefening van hun functie door een gemotiveerde beslissing van de Praeses van Tomo no Kai. Deze beslissing kan ongedaan gemaakt worden door een unanieme stemming van de Algemene Vergadering, dit uiteraard met uitzondering van de Praeses. In dit geval worden de respectievelijke personen in hun positie hersteld.
Artikel 12. Ereleden.
Voor het erelidmaatschap komt iedereen in aanmerking die niet binnen de omschrijving in artikel 2 valt. Aanvragen en/of nominaties tot erelidmaatschap worden op een individuele basis door de Algemene Vergadering besloten. Ereleden krijgen de toegang tot de activiteiten die gedurende dat academiejaar worden georganiseerd.
Artikel 13. Vergaderingen.
1. De Algemene Vergadering wordt door de Praeses samengeroepen en de andere bestuursleden worden tijdig verwittigd via de geëigende communicatiekanalen – telefonisch/ e-mail/ mondeling. De Praeses deelt dan ook mee wat het programma is voor de volgende bestuursvergadering. Bij uitzondering kan elk bestuurslid een Algemene Vergadering samenroepen; hiervoor moet hij/zij een geldige reden kunnen voorleggen aan de Praeses.
2. De Algemene Vergadering wordt geleid door de Praeses van Tomo no Kai. Op de vergadering wordt de strategie bepaald en uitgewerkt die Tomo no Kai zal hanteren om statutair vastgelegde doelstellingen te bereiken.
3. Beslissingen worden tijdens vergaderingen genomen door democratische stemming en aanvaard bij een volstrekte meerderheid van de bestuursleden (50% + 1), tenzij anders vermeld in de bijzondere secties van de statuten.
3bis. De leden van het kernbestuur kunnen, indien voldoende gemotiveerd, een veto uitroepen op beslissingen van de Algemene Vergadering tenzij de beslissing unaniem is, henzelf niet meegerekend uiteraard.
4. Een stemming is geldig wanneer men aan alle voorgaande vereisten van dit artikel voldoet en minimum twee leden van het kernbestuur aanwezig zijn, inclusief de Praeses. Bestuursleden worden geacht naar alle Algemene Vergaderingen te komen, tenzij ze een geldige reden kunnen geven voor hun afwezigheid. Frequente afwezigheid zonder valabele reden kan leiden tot sancties, als beschreven in artikel 19.
Artikel 14. Kandidatuur voor verkiezingen
1. Alle leden van Tomo no Kai die één academiejaar ingeschreven zijn aan de Gentse Universiteit komen in aanmerking voor een bestuursfunctie, onder de voorwaarde dat zij nog steeds student zijn in Gent. Een bijkomende voorwaarde voor de kernbestuursfuncties is dat zij minstens één jaar ervaring moeten hebben in het bestuur van Tomo no Kai.
1bis. De Praeses is bij voorkeur een actieve student(e) aan de vakgroep Japanse taal en cultuur die minstens in zijn/haar tweede Bachelor zit, deels of volledig.
2. Leden worden ten laatste op 14 februari op de hoogte gesteld van de mogelijkheid tot het indienen van een kanditatuur voor het praesidium voor het volgend academiejaar. Zij mogen vanaf 1 maart hun gemotiveerde kanditatuur voor elke functie die zij wensen te bekleden indienen, schriftelijk of via mail, tot ten laatste 31 maart – tenzij anders bepaald door de Algemene Vergadering. Hun kanditatuur moet goedgekeurd worden door de Algemene Vergadering.
Artikel 15. Verkiezingen
1. Alle ingeschreven leden van Tomo no Kai zijn stemgerechtigd. Elk lid heeft één stem en kan deze enkel met ondertekende schriftelijke toestemming overdragen aan een ander lid dat in zijn/haar plaats stemt. Op de functies van het kernbestuur kan enkel het bestuur zijn stem uitbrengen.
2. De datum en plaats van de verkiezingen wordt via alle courante communicatiekanalen minstens één week voor de verkiezing bekendgemaakt. Dit zal doorgaans in april plaatsvinden. De verkiezingsuitslag wordt ten laatste één week na de verkiezingen bekend gemaakt tijdens de eerstvolgende daartoe geschikte clubactiviteit en op de website.
2bis. Gedurende de zeven dagen voor de verkiezing en tijdens de verkiezingsdag kunnen geen nieuwe leden ingeschreven worden.
3. De verkiezingen gebeuren onder toezicht van de Praeses en onder leiding van een niet-lid van Tomo no Kai die aangesteld is door de Algemene Vergadering; hij/zij zorgt ervoor dat de verkiezingen ordelijk en eerlijk verlopen en ziet erop toe dat de stemmen pas geteld worden na de stemming.
4. De kandidaten hebben het recht een hertelling van de stemmen voor hun eigen functie te eisen: dit doet men door het praesidium hierover te contacteren binnen de 24 uur na de laatste bekendmaking van de verkiezingsuitslag; het praesidium zal hierop een publieke hertelling organiseren. Indien hierbij begane fouten worden vastgesteld bij de eerste telling, worden deze tenietgedaan en is de nieuwe verkiezingsuitslag geldig.
5. In het geval van een ex aequo tussen twee kandidaten voor dezelfde functie moeten voor de bekendmaking deze kandidaten voor het bestuur verschijnen om een laatste keer hun motivatie en kwaliteiten voor de functie aan te prijzen; hierna stemt het bestuur, waarbij de uitkomst van de stemming bindend is en me geen hertelling/herziening hiervan kan eisen. Mocht dit weer tot een ex aequo leiden, dan, en enkel dan pas, telt de stem van de Praeses dubbel.
6. Indien er geen kanditaat is voor een openstaande functie tijdens de verkiezingsperiode, maar er na de verkiezing van het nieuwe praesidium alsnog een persoon bereid is deze functie op zich te nemen en zich kanditaat stelt, dan kan hij/zij opgenomen worden in het praesidium als het huidige praesidium hiermee unaniem akkoord is. Het kandidaat-praesidiumlid is niet aanwezig tijdens deze stemming en wordt ten laatste 24 uur na de stemming op de hoogte gesteld van de uitkomst hiervan.
Artikel 16. Toegangen en paswoorden
1. Toegang tot de e-mailaccount, bankrekening, het modereren van de website en het forum en andere werkmiddelen van Tomo no Kai die belangrijk zijn voor de interne werking en een zekere verantwoordelijkheid van de gebruiker vereisen zijn gelimiteerd tot leden van het praesidium in hun gebruik of toepassing ervan.
2. Paswoorden en toegangscodes dienen tijdens de overgang van het nieuwe academiejaar gewijzigd te worden, en enkel gedeeld te worden met het huidige praesidium. Het is niet toegestaan voor gewone leden of externen om zich toegang te verschaffen tot deze werkmiddelen.
3. Alle toegangscodes en paswoorden worden ten minste door twee leden van het kernbestuur gedeeld, zijnde de Praeses en een ander lid van het kernbestuur.
4. Het onderhoud en de toegang tot de website valt onder de bevoegdheid van de Webpraeses, alsook het modereren van het forum. Het forum kent ten minste twee administrators, zijnde de Praeses en de Webpraeses, eventueel aangevuld met anderen in de functie van administrator of global moderator, al naargelang de noodzaak hiervan. Deze functies zijn voorbehouden voor praesidiumleden en mogen niet door leden of externen uitgevoerd worden.
Doelstellingen van Tomo no Kai
Artikel 17. Uitdraging van de Japanse cultuur.
Tomo no Kai wil haar leden en de studenten van de Universiteit Gent in het algemeen helpen hun horizonten te verruimen door ze op een constructieve en respectvolle manier in contact te brengen met de Japanse cultuur, maatschappij en andere Japanse curiosa en ze zo een unieke ervaring te geven die zal bijdragen aan hun culturele, sociale en intellectuele vorming. Deze opdracht vervult Tomo no Kai door het organiseren van extracurriculaire activiteiten en het bijstaan van de vakgroep Japanse taal en cultuur.
Artikel 18. Netwerking
Tomo no Kai wil haar leden en de studenten van de Universiteit Gent in het algemeen de mogelijkheid geven om in contact te komen met andere mensen die dezelfde interesses hebben om zo hun sociale contacten te verruimen en deze interesses aan te moedigen. Hiervoor organiseren we mogelijke activiteiten zoals lezingen, een Japanbeurs, infodagen e.d.
Artikel 19. Naleven van de statuten.
1. De bestuursleden worden geacht de statuten naar behoren na te leven en uit te voeren; inbreuken hierop worden besproken op de Algemene Vergadering.
1bis. Indien de misstap kan rechtgezet worden zal dit ook gebeuren; in elk geval wordt beslist door het bestuur, met uitzondering van de overtreder, of hij/zij een sanctie moet ondergaan. Indien na unanieme beslissing een sanctie volgt beslist de Praeses wat deze zal zijn, in samenspraak met de rest van het bestuur, rekening houdend met artikel 21 en met onmiddellijke ontheffing van functie als zwaarste sanctie. Mocht de overtreder de Praeses zelf zijn, dan bepaalt de VicePraeses de sanctie in samenspraak met de rest van het bestuur.
Slotbepalingen
Artikel 20. Statutenwijzigingen
1. Ten eerste moet een voorstel tot statutenwijziging worden opgesteld. Dit moet worden aangenomen op een Algemene Vergadering van Tomo no Kai bij unanieme beslissing.
2. Dit voorstel wordt door de Praeses van Tomo no Kai meegedeeld aan het bestuur. Tezelfdertijd worden datum, tijd en plaats van de vergadering waarop de statutenwijziging behandeld zal worden meegedeeld aan deze personen; het is aangeraden voldoende tijd tussen de volgende vergadering te laten zodat alle bestuursleden kunnen nadenken over eventuele wijzigingen.
3. Op de vergadering wordt ieder punt van het voorstel tot statutenwijziging besproken en bediscussieerd. De statutenwijziging wordt slechts aangenomen indien alle aanwezige bestuursleden unaniem akkoord gaan met de aanpassingen, waarbij minstens 2/3 meerderheid aanwezig is op deze algemene vergadering.
4. De Praeses past de Statuten zo snel mogelijk aan volgens de wijzigingen waartoe de vergadering besloten heeft. Hij/zij stuurt zo snel mogelijk een geconsolideerde versie van de statuten naar de personen genoemd in het tweede lid van dit artikel en zorgt ervoor dat alle leden de nieuwe statuten vrij kunnen raadplegen.
Artikel 21. Opschorten van de vereniging
1. Wanneer door het aftredend bestuur voor een volgend academiejaar op geen enkele wijze nog een werkbaar bestuur kan worden samengesteld, kan de vereniging voor één of meerdere jaren worden opgeschort.
2. Wanneer de vereniging voor onbepaalde tijd wordt opgeschort, moet een schatbewaarder worden aangesteld als beheerder van de gelden die in het bezit zijn van Tomo no Kai. Deze schatbewaarder moet getuigen van objectiviteit, betrouwbaarheid en bekwaamheid, en is bij voorkeur één van de leden van het laatste bestuur.
3. Wanneer Tomo no Kai na onbepaalde duur weer over voldoende bestuursleden beschikt om de werkzaamheden opnieuw te hervatten, zal de schatbewaarder de volledige fondsen van Tomo no Kai terug aan het nieuwe bestuur overhandigen.
Artikel 22. Rechten van de mens
Tomo no Kai verzekert dat zij bij het streven naar haar statutaire doelstelling de mensenrechten zoals deze beschreven worden in het Europees Verdrag tot Bescherming van de Rechten van de Mens en de fundamentele vrijheden zal respecteren.

Preliminary Provisions
Article 1. Establishment
The student group Tomo no Kai (友の会) was established on the 16th of May 2008 in the Belgian city of Ghent by undergraduate (bachelor) students of the study program: ‘Bachelor of Arts in Oriental Languages and Cultures: main subject Japan’.
Article 2. Members of Tomo no Kai
1. The Membership of Tomo no Kai is open to all students who take an interest in Japanese culture and/or society.
1bis. In principle, the membership of Tomo no Kai is free of charge. However, respecting the financial situation of Tomo no Kai, the Praeses (president) is allowed to impose a onetime financial contribution on the members of Tomo no Kai. This, only to ensure the correct and smooth operating of Tomo no Kai. The decision to impose the mentioned financial contribution must be made at the start of every Tomo no Kai working year, described in Article 2bis 1, and must be ratified by atleast a 2/3 majority of the votes of the core board (Core Praesidium).
2. A half-yearly membership of Tomo no Kai can be granted, but only to international students who are enrolled at Ghent University (UGent) for one semester, and who show an interest in the Japanese culture and/or society.
2bis. In the same spirit as 1bis, a onetime financial contribution can be imposed on such 1- semester-members to only ensure the correct and smooth operating of Tomo no Kai. This contribution equals 50% of what a onetime financial contribution of a whole year membership would cost.
Article 2bis. Structure of Tomo no Kai
1. Tomo no Kai takes on the juridical form of a factual association. Tomo no Kai working year starts on July 1st, and ends on June 30th; all tasks, assignments and responsibilities are transferred to the newly chosen Praesidium (board) at the start of the new working year.
2. The members and their legal successors, if any, have no share in the assets of Tomo no Kai, are not entitled to a share in the profits achieved and cannot derive any proceeds from Tomo no Kai, thus enriching themselves individually. In the event of retirement, termination of their position or death, they can never claim a refund or compensation of contributions paid.
2bis. The purpose of Tomo no Kai is by no means to make a profit for the benefit of the members and/or third parties. An exception to this rule is the sponsoring of activities that fit the objectives and spirit of Tomo no Kai. Beneficiaries can be deployed for this.
3. In case of the dissolvement of Tomo no Kai, for whatever reason, the assets of Tomo no Kai must be allocated to a purpose that matches the purpose and spirit of Tomo no Kai, and it must not be distributed among the members.
Article 3. Logo & praesidiumribbons
1. The logo consists of a circle with a snowy mountain peak, forests on either side and a sheltering Japanese sun in a white, carnelian red and golden yellow color scheme. The Japanese characters of Tomo no Kai are printed over the whole.
2. The praesidiumribbons are made out of carnelian red and golen yellow. The Tomo no Kai logo is present in the middle of the ribbon. Above the logo is the name of the student organization, Tomo no Kai, printed. Below the logo one could observe in descending order: name of the student, function and the current academic year. If this student has multiple functions within Tomo No Kai, this, ofcourse, is also mentioned. In the case that a student has been a prasediummember for multiple years, then at the start of each year the new function and academicyear is once more mentioned. There is no floss for normal praesidiumribbons.
2.1 The ribbon of the praeses (charman) is wider than the normal praesidiumribbon. The praesesribbon contains a floss with a golden elastic.
2.2 The emperorribbon is optional to every praesidummember that practices the exact same function in three years in a row. This title “Keizer” en acompassing academicyears are printed in silver. The emerorribbon contains a floss with a silver elastic.
Internal Organisation
Article 4. General Assembly
1. The General Assembly, or the board, is the central management body of Tomo no Kai. It consists of the core board, described in Article 4.1bis, and the functions described in Articles 9, 10 and 11
1bis. The core board comprises fixed positions which, unlike the functions described in Articles 10 and 11, cannot be removed from Tomo no Kai leadership structure. These positions are Praeses, Vicepraeses and Treasurer.
2. In the event of the departure or dismissal of a board member for personal or academic reasons, the successor is appointed by the General Assembly.
Article 5. Praeses (President) of Tomo no Kai
1. The Praeses of Tomo no Kai shall be elected by the outgoing board of Tomo no Kai, considering the criteria set out in paragraph 2 of this Article.
2. The Praeses is the President of the association: he/she must supervise the proper functioning of Tomo no Kai, the fact that all board members perform their duties properly and in compliance with the statutes. De Praeses ensures that the IK-meetings (International Konvent, henceforth known as ‘IK’) are attended and followed up; he/she is also in the General Assemblies of the IK. He/she convenes meetings and sets the agenda for these meetings. He/she chairs the cantuses and tries to step in when one of the other board members is temporarily unable to perform his task adequately. De Praeses bears final and financial responsibility.
3. De Praeses can only be dismissed for serious and pertinent malpractice in the performance of his duties. This requires a unanimous decision of the General Assembly of Tomo no Kai in which the Praeses obviously has no vote. In that case the VicePraeses takes over the tasks of the Praeses.
Article 6. Vicepraeses (Vice president) of Tomo no Kai
1. The Vicepraeses of Tomo no Kai is appointed in accordance with the procedure described in Articles 14 and 15. Acceptance of office by the appointee is required.
2. The Vicepraeses is the right hand of the Praeses. He/she represents the same interests, and acts when the Praeses is unable to attend or is too busy with another assignment for Tomo no Kai; in the absence of the Praeses at a General Assembly of the IK, the Vicepraeses will replace the Praeses. When the Praeses relinquishes his/her position during a current academic year, the Vicepraeses automatically becomes the new Praeses. A new Vicepraeses can then be sought from within the board or externally.
3. The Vicepraeses can be dismissed for non-performance and/or malpractices in the performance of his/her duties by a motivated decision of the Praeses of Tomo no Kai. This decision can be
reversed by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the Vicepraeses is restored to his/her position.
Article 7. Treasurer of Tomo no Kai
1. The Treasurer of Tomo no Kai is appointed according to the procedure described in Articles 14 and 15. Acceptance of office by the appointee is required.
2. The Treasurer is responsible for the financial policy of the circle: he/she must be able to submit a detailed cash report to the General Assembly on a regular basis. The Treasurer checks the expenses made for Tomo no Kai by the other board members, ensures that no excessive debts are incurred during the year and that loss-making activities are kept to a minimum. He/she also ensures proper use of the subsidies made available by the DSA (Dienst Studentenactiviteiten, henceforth known as DSA).
3. The Treasurer can be dismissed for non-performance and/or malpractices in the performance of his/her duties by a motivated decision of the Praeses of Tomo no Kai. This decision can be reversed by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the Treasurer is restored to his/her position.
Article 8. Secretary of Tomo no Kai
1. The Secretary of Tomo no Kai is appointed in accordance with the procedure described in Articles 14 and 15. Acceptance of office by the appointee is required.
2. The Secretary records the report of each board meeting, posts it within a week on the discussion forum of Tomo no Kai and ensures that there is always an activity calendar per month and this activity calendar is sent to the Webmaster. If the position of Secretary is not fulfilled, it will be mutually decided at the beginning of the General Assembly who will draw up the report and post it on the forum.
3. The Secretary may be dismissed for breach of duty and/or malpractices in the performance of his/her duties by a motivated decision of the Praeses of Tomo no Kai. This decision can be reversed by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the Secretary is restored to his/her position.
Article 9. Webmaster (Web responsible/Webpraeses) of Tomo no Kai
1. The webmaster of Tomo no Kai is appointed according to the procedure described in articles 14 and 15. Acceptance of office by the appointee is required.
2. The Webmaster is responsible for announcing the activities of Tomo no Kai on the DSA website and for updating and keeping Tomo no Kai website up to date, providing the general maintenance of all required internet and ICT requirements that are necessary for the proper functioning of Tomo no Kai.
2bis. Because of the requirement of the DSA that the board needs a web manager, someone must be appointed for this, either an individual person, or someone with another board position should no one apply for the position of Webmaster.
3. The webmaster can be dismissed for non-performance in the performance of his/her position by a motivated decision of the Praeses of Tomo no Kai. This decision can be overturned by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the Webmaster will be restored in his / her position.
Article 10. Public Relations (PR) of Tomo no Kai
1. The internal PR and the external PR (henceforth PR Intern and PR Extern respectively) of Tomo no Kai are appointed in accordance with the procedure described in Articles 14 and 15. Acceptance of office by the appointed persons is required.
2. The PR Intern is responsible for the timely announcement of the activities, the data and any other necessary information, at the latest 1 week before the start of the activity. This is done by putting up the posters of upcoming activities, writing information about activities on the boards and visiting all grades before the first lesson of the week. He/she is regularly present in places where members of Tomo no Kai follow courses, and this to provide verbal advertising. He/she also sends the e-mails containing an overview of the upcoming activities, at the latest 3 days before the start of the week. Publicity should also go to the honorary members.
3. The PR Extern is responsible for the contacts between Tomo no Kai and the UGent, sponsors and external associations with which Tomo no Kai can collaborate. He/she is responsible for attracting external funds to co-finance the activities. He/she is responsible for all sponsorship deals.
4. The PR Intern/Extern can be dismissed for non-performance in the performance of his/her position by a motivated decision of the Praeses of Tomo no Kai. This decision can be overturned by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the PR Intern/Extern is restored in his/her position.
Article 11. Additional functions of Tomo no Kai
1. The General Assembly may choose by unanimous decision to create additional functions for the next academic year and the following elections according to the specific needs of Tomo no Kai; these functions are Culture, Sports, Study, Scriptor, Party (Feest) and Designer. They are appointed in accordance with the procedure described in Articles 14 and 15. Acceptance of office by the appointed persons is required.
2. Their duties are determined by the General Assembly and serve only to the distribution and alleviation of the burdens of the board.
3. The persons who take up the positions described in article 11.1 can be dismissed for non performance in the performance of their function by a motivated decision of the Praeses of Tomo no Kai. This decision can be overturned by a unanimous vote of the General Assembly, with the exclusion of the Praeses. In this case, the respective persons are restored in their functions.
Article 12. Honorary members
Anyone who does not fall within the description in Article 2 is eligible for honorary membership. Applications and/or nominations for honorary membership are decided on an individual basis by the General Assembly. Honorary members are given access to the activities that are organized during that academic year.
Article 13. Meetings
1. The General Assembly is convened by the Praeses and the other board members are notified in good time via the appropriate communication channels – by telephone/e-mail/orally. The Praeses also announces what the program is for the next board meeting. By exception, any board member can convene a General Assembly; for this he/she must be able to present a valid reason to the Praeses.
2. The General Assembly is presided by the Praeses of Tomo no Kai. At the meeting, the strategy that Tomo no Kai will use to achieve statutory objectives is determined and elaborated.
3. Decisions at meetings are made by democratic vote and accepted by an absolute majority of the board members (50% + 1), unless stated otherwise in the special sections of the Statutes.
3bis. The members of the core board can, if sufficiently motivated, veto decisions of the General Assembly unless the decision is unanimous, not including themselves of course.
4. A vote is valid when all the foregoing requirements of this article are met and at least two members of the core board are present, including the Praeses. Board members are expected to attend all General Assemblies unless they can provide a valid reason for their absence. Frequent absence without valid reason may lead to sanctions, as described in Article 19.
Article 14. Candidacy for elections
1. All members of Tomo no Kai who have been enrolled at Ghent University for atleast one academic year are eligible for a board position, on the condition that they are still a student in Ghent. An additional condition for the core board positions is that they must have at least one year of experience in the board of Tomo no Kai.
1bis. The Praeses is preferably an active student at the Department of Japanese Language and Culture who is at least in his / her second undergraduate year (Second Bachelor), partly or completely.
2. Members will be informed by 14 February at the latest of the possibility to submit a candidacy for the Praesidium for the next academic year. From 1 March, they may submit their motivated candidature for any position they wish to hold, in writing or by e-mail, until 31 March at the latest – unless otherwise determined by the General Assembly. Their candidacy must be approved by the General Assembly.
Article 15. Elections
1. All registered members of Tomo no Kai are entitled to vote. Each member has one vote and can only transfer his/her right to that one vote to another member voting in his/her place if he/she gives a signed written consent. Only the board can vote on the functions of the core board.
2. The date and place of the elections will be announced through all mainstream communication channels at least one week before the election. This will usually take place in April. The election results will be announced at the latest one week after the elections during the next appropriate club activity, as well as on the website.
2bis. During the seven days before the election and during election day, no new members can be registered.
3. Elections shall be supervised by the Praeses and presided by a non-member of Tomo no Kai appointed by the General Assembly; This appointed person ensures that the elections are conducted in an orderly and fair manner and ensures that the votes are only counted after the vote.
4. Candidates have the right to ask a recount of the votes for their own office: this is done by contacting the Praesidium within 24 hours after the last announcement of the election results; the Praesidium will organize a public recount on this. If errors are detected at the first count, they will be canceled and the new election result will be valid.
5. In the event of a tie between two candidates for the same position, these candidates must appear before the board before the announcement to announce their motivation and qualities for the position one last time; the board then votes, whereby the outcome of the vote is binding and cannot be legally subjected to a recount/revision. Should this again lead to a tie, then, and only then, the vote of the Praeses counts double.
6. If there is no candidate for an open position during the election period, but after the election of the new Praesidium a person is still willing to take up this position and applies, then he/she can be admitted to the Praesidium. This requires the current Praesidium to unanimously agree to the admission of that person. The candidate Praesidium member is not present during this vote and will be informed of the outcome no later than 24 hours after the vote.
Article 16. Access and passwords
1. Access to the email account, bank account, website and forum moderation and other resources of Tomo no Kai that are important to the internal operation and require some responsibility of the user are limited to members of the Praesidium in their use or application thereof.
2. Passwords and access codes must be changed during the transition of the new academic year, and only be shared with the current Praesidium. It is not permitted for ordinary members, honorary members or external parties to gain access to these resources.
3. All access codes and passwords are shared by at least two members of the core board, one being the Praeses and another member of the core board.
4. The maintenance and access to the website, as well as the moderation of the forum are the responsibility of the Webpraeses. The forum has at least two administrators, being the Praeses and the Webpraeses, possibly supplemented by others in the position of administrator or global moderator, depending on the need of such functions. These functions are reserved for Praesidium members and may not be performed by ordinary members, honorary members or external parties.
Objectives of Tomo no Kai
Article 17. Propagation of Japanese culture
Tomo no Kai wants to help its members and the students of Ghent University in general in broadening their horizons and views, by bringing them in contact with Japanese culture, society and other Japanese curiosities in a constructive and respectful way, and thus providing them with a unique experience that will contribute to their cultural, social and intellectual education. We fulfill this assignment by, among other things, organizing extracurricular activities and assisting the Japanese Language and Culture department.
Article 18. Networking
Tomo no Kai wants to give its members and the students of Ghent University in general the opportunity to get in touch with other people who have the same interests in order to broaden their social contacts and encourage these interests. For this we organize possible activities, such as lectures, a Japan fair, information days, etc.
Article 19. Compliance with the articles of association
1. The board members are expected to duly comply with, and implement the articles of association (also known as Tomo no Kai Statutes); violations of this are discussed at the General Assembly.
1bis. If the misstep can be corrected, this will thusly happen; in any case, it is decided by the board, with the exception of the offender, whether he/she must undergo a sanction. If a sanction is imposed after a unanimous vote, the Praeses will decide what this sanction will be, in consultation with the rest of the board, taking into account Article 21, and with immediate discharge from function as the most severe sanction. If the offender is the Praeses, the VicePraeses will determine the sanction in consultation with the rest of the board.
Final provisions
Article 20. Amendments to the Articles of Association
1. Firstly, a proposal to amend the articles of association must be drawn up. This must be passed at a General Assembly of Tomo no Kai by unanimous vote.
2. This proposal is communicated to the board by the Praeses of Tomo no Kai. At the same time, the date, time and place of the meeting at which the amendment to the articles of association will be discussed will be communicated to these persons; it is recommended to allow sufficient time between the next meeting so that all board members can consider any changes.
3. At the decided meeting, every point of the proposal to amend the articles of association will be taken into consideration and discussed. The amendment to the articles of association is only adopted if all present board members unanimously agree with the amendments, where a minimum of 2/3 of all board members are present during the General Assembly.
4. The Praeses will amend the Articles of Association as soon as possible in accordance with the decision made by the General Assembly. He/she sends a consolidated version of the articles of association to the persons mentioned in the second paragraph of this article (all current board members) as soon as possible and ensures that all members can freely consult the new articles of association.
Article 21. Suspension of the association
1. If a workable board for the next academic year cannot be composed by the resigning board members in any way whatsoever, the association may be suspended for one or more years.
2. When the association is suspended indefinitely, a treasurer must be appointed as the administrator of the funds held by Tomo no Kai. This treasurer must demonstrate objectivity, reliability and competence, and is preferably one of the members of the last board.
3. When after an indefinite period of time Tomo no Kai again has enough board members to resume the activities, the treasurer will return the entire funds of Tomo no Kai to the new board.
Article 22. Human rights
Tomo no Kai assures that in pursuing its statutory objective, it will respect human rights as described in the European Convention for the Protection of Human Rights and the fundamental freedoms.
